Governance & Board

Shepherds Only Foundation

Stewardship with purpose.

Shepherds Only Foundation exists to serve and strengthen those called to the work of Christian ministry. An organisation entrusted with resources for so sacred a purpose must itself be governed with integrity, wisdom and faithful stewardship.

Our governance framework is built to protect that mission, safeguard the resources committed to it, and ensure that every decision is made in the interest of the Foundation and the people it serves.

The Board

The Foundation is governed by a Board that serves as its principal governing body — the guardian of its purpose rather than merely its administrator. The Board safeguards the mission, ensures that resources are managed responsibly, and oversees the Foundation’s leadership, programmes, finances and long-term direction, exercising sound judgment, independence and diligence throughout.

Its principal responsibilities include:

  • safeguarding the mission, values and enduring purpose of the Foundation;
  • setting strategic direction and providing organisational oversight;
  • overseeing financial stewardship, investments and the responsible use of resources;
  • approving significant policies, programmes and commitments;
  • overseeing risk, internal controls and accountability;
  • monitoring the Foundation’s effectiveness and organisational health; and
  • ensuring the Foundation operates within its governing documents and applicable law.

Governance Built Around Accountability

At Shepherds Only Foundation, authority is always paired with accountability.

The Foundation maintains a clear separation between governance and management: the Board sets direction and provides oversight, while authorised officers and staff carry out its operations within approved policies, budgets and delegated authority. Significant decisions are subject to collective review and approval — never concentrated in a single person.

To strengthen that oversight, the Board may establish committees or appoint professional advisers in areas such as finance, investment, audit, risk, safeguarding and legal compliance.

Financial Stewardship

Every resource committed to the Foundation is held for the advancement of its charitable purposes.

The Board oversees the Foundation’s financial affairs and upholds sound budgeting, recordkeeping, controls, reporting and review. Investments, reserves, endowment assets and distributions are managed within approved governance arrangements, always with a view to long-term sustainability.

Charitable resources are never treated as the personal property of founders, directors, officers or anyone connected with the organisation. They belong to the mission — and to the generations it is meant to serve.

Conflicts of Interest

Those entrusted with decisions on the Foundation’s behalf are expected to place its interests above any personal or private interest.

Actual, potential and perceived conflicts are disclosed and managed openly, and where necessary an affected person steps aside from the relevant deliberation and decision. This discipline protects both the integrity of each decision and public confidence in the Foundation.

Responsible Decision-Making

Decisions are made carefully, consistently and on the basis of sound information. Material decisions are documented, and matters reserved for the Board are weighed collectively within the Foundation’s governing framework.

No one holds unchecked authority over the Foundation by virtue of being its founder, director, officer, employee, donor or supporter. Standing confers responsibility, not entitlement.

Independence and Integrity

The Foundation exists to pursue its mission — not the private interests of any individual, family, business, church, ministry or outside organisation.

It gladly works with churches, ministries, advisers, financial institutions and other partners where doing so advances its purposes. But no partnership displaces the Foundation’s duty to exercise its own judgment and retain oversight of its resources and activities.

Good governance is more than compliance. It is the discipline by which we protect our purpose across generations.

A Culture of Good Governance

We therefore seek to cultivate a culture marked by:

  • Integrityin leadership.
  • Accountabilityin decision-making.
  • Prudencein financial stewardship.
  • Transparencyin reporting.
  • Fairnessin the administration of support.
  • Faithfulnessto the mission.

As the Foundation grows, its governance is reviewed and renewed, so that its structures always match its responsibilities.

Our Commitment

Those who support the Foundation, those who serve through it, and those who receive its care should be able to expect one thing above all: responsible stewardship.

Our Board exists to keep the Foundation faithful to its purpose, well governed, and accountable for all that is entrusted to it.

The mission is built to endure for generations. Our governance is built with that same horizon in mind.

“Let all things be done decently and in order.” — 1 Corinthians 14:40
